You represent that you are at least 18 years old and have the legal capacity to enter into these Terms. We reserve the right to suspend or terminate any account that violates our policies or eligibility requirements.
You are solely responsible for maintaining the confidentiality of your account login credentials. AIMS Force will not be liable for any loss or damage resulting from unauthorized access to your account due to your failure to protect your credentials. If you believe your account has been compromised, contact us immediately at info@aimsforce.com.

When you accept a staffing assignment through our Services:
We will process compensation for completed assignments within 5-10 business days. Compensation rates are provided at the time of assignment acceptance. You are responsible for all taxes, Social Security, Medicare, and other statutory deductions. We will provide appropriate tax forms (1099-NEC or W-2) as required by law.
Unless otherwise specified in a written agreement, healthcare professionals are classified as independent contractors. As an independent contractor, you are responsible for your own insurance, taxes, and benefits. You are not an employee of AIMS Force and are not entitled to employee benefits.

By requesting staffing services through our platform, you agree to:
Facilities agree to pay invoices as specified in the service agreement. Payment terms are typically net 30 days from invoice date. Late payments may result in suspension of services. Facilities are responsible for all applicable taxes and legal compliance related to staffing services.
Facility cancellations must be communicated as soon as possible. Cancellations less than 24 hours before the assignment may be subject to cancellation fees. AIMS Force is not liable for any losses resulting from cancellations by the facility.
When AIMS Force fulfills government staffing contracts, all services are provided in compliance with Federal Acquisition Regulation (FAR) and Defense Federal Acquisition Regulation Supplement (DFARS). We maintain all required certifications including:
When handling CUI for government contracts, we comply with NIST standards and maintain appropriate access controls, encryption, and security protocols. All personnel with CUI access complete required training and background checks.
Healthcare professionals assigned to government contracts must:
AIMS Force agrees to maintain records and documentation required for government audits and compliance verification. We authorize government personnel to audit our services, records, and systems as required.
All content, software, design, graphics, and materials on our website and Services (collectively, "Content") are the exclusive property of AIMS Force or its licensors and are protected by copyright, trademark, and other intellectual property laws. This includes:
We grant you a limited, non-exclusive, non-transferable license to access and use our Services for their intended purpose. You may not reproduce, modify, distribute, or use any Content without prior written permission from AIMS Force.
Any information, profiles, resumes, applications, or other content you submit through our Services ("User Content") remains your property. However, you grant AIMS Force a perpetual, royalty-free license to use, display, modify, and distribute your User Content for the purpose of providing Services and improving our platform.
Our Services may contain links to third-party websites and content. AIMS Force does not endorse and is not responsible for third-party content, services, or policies.
Our Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied. AIMS Force disclaims all warranties including:
To the maximum extent permitted by law, AIMS Force will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption, arising from your use of or inability to use our Services, even if advised of the possibility of such damages.
Our total liability to you for any claim arising from or relating to these Terms or our Services will not exceed the total fees paid by you to AIMS Force in the 12 months preceding the claim, or $100, whichever is less.

You agree to indemnify, defend, and hold harmless AIMS Force, its officers, directors, employees, agents, and licensors from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:
These Terms and all matters relating to our Services are governed by the laws of the State of Maryland, without regard to conflicts of law principles. The exclusive jurisdiction for any disputes is the state and federal courts located in Baltimore County, Maryland, specifically in or around Pikesville, Maryland.
You and AIMS Force agree to resolve any dispute through binding arbitration rather than litigation. This includes disputes arising from these Terms, our Services, or any related matter. The arbitration will be conducted by JAMS (Judicial Arbitration and Mediation Services) under its rules.
You agree that arbitration will be conducted on an individual basis, and you waive any right to pursue claims as part of a class action, collective action, or representative proceeding. If any court determines this class action waiver is unenforceable, the entire arbitration agreement is void.
Notwithstanding the arbitration agreement, either party may seek injunctive or equitable relief in court for intellectual property infringement or other urgent matters requiring immediate judicial relief.

You may terminate your account and cease using our Services at any time by sending written notice to info@aimsforce.com. Upon termination, your rights to use our Services will immediately cease.
AIMS Force may terminate or suspend your account and access to Services at any time, with or without cause, if:
Upon termination, all licenses and rights granted to you immediately expire. Sections that by their nature should survive termination (including Limitation of Liability, Indemnification, and Governing Law) will continue to apply.
AIMS Force may modify these Terms at any time. We will notify you of material changes by email or by posting the updated Terms on our website with a revised "Last Updated" date. Your continued use of our Services following such notice constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of our Services.
These Terms, along with our Privacy Policy and any other written agreements between you and AIMS Force, constitute the entire agreement regarding your use of our Services and supersede all prior understandings and agreements, whether written or oral. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue to be valid and enforceable.
